1. Introduction and Acceptance

1.1 About These Terms

These Terms of Service ('Terms') constitute a legally binding agreement between you ('User', 'you', or 'your') and Podacium SARL ('Podacium', 'we', 'us', or 'our'), a limited liability company (Société à Responsabilité Limitée) registered in Algeria.

All terms are governed by Algerian law and jurisdiction

1.2 Acceptance of Terms

By accessing, browsing, registering for, or using the Podacium platform and services (collectively, the 'Platform'), you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Cookie Policy, and Refund Policy, which are incorporated herein by reference.
If you do not agree to these Terms, you must immediately cease using the Platform.

1.3 Amendments

We reserve the right to modify these Terms at any time. Material changes will be notified to registered users via email and/or prominent notice on the Platform at least 15 days before the changes take effect. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

1.4 Legal Continuity Clause

Podacium SARL may convert its legal structure to a Simplified Joint Stock Company (Société Par Actions Simplifiée - SPAS) in the future. Such conversion will not affect the validity or enforceability of these Terms. Users will be notified of any change in legal structure.

2. Definitions

BI Features

Analytics dashboards, performance tracking, and reporting tools

Freelancing Marketplace

Connects freelancers with clients for project-based work

User-Generated Content

Content created and submitted by users including assignments and forum posts

3. Eligibility and User Accounts

Requirements for creating and using an account

3.1 Age Requirements

To create an Account on Podacium, you must be at least 16 years old. Users aged 16 to 18 may access the Platform only with parental or legal guardian consent, in accordance with applicable Algerian law.

Parental Consent Process:

  • A parent or legal guardian must provide consent by submitting verified identification
  • Podacium retains proof of parental consent securely for audit and compliance purposes
  • Parents or guardians may revoke consent at any time by contacting us

3.2 Account Registration

To access full Platform features, you must create an Account by providing your full legal name, valid email address, date of birth, and a password meeting our security requirements.

3.3 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and all activities that occur under your Account. You must notify us immediately of any unauthorized use or security breach.

3.4 Account Types

Podacium supports Individual Learner Accounts, Freelancer Accounts, Business Accounts, and Institutional Accounts, each with specific features and requirements.

4. Platform Services

Educational, AI, BI, and freelancing services provided

4.1 Educational Services

Podacium provides online learning services including pre-recorded video courses, interactive exercises, learning paths, completion certificates, PDF materials, and AI-powered tutoring when available.

4.2 Certificates and Credentials

Certificates issued by Podacium represent successful completion of course requirements but are not formal academic degrees or accredited qualifications. They are informal credentials for continuing education.

4.3 Artificial Intelligence Services

Podacium may utilize artificial intelligence technologies to enhance learning experiences. AI features include conversational tutors, personalized recommendations, automated assessments, and content generation tools. Important disclaimers apply to AI-generated content.

4.4 Business Intelligence Features

Podacium offers Business Intelligence analytics tools for individual users (learning progress dashboards, performance analytics) and business/institutional users (employee learning analytics, team performance dashboards, custom reporting).

5. User Rights and Responsibilities

What you can and cannot do on our platform

5.1 License to Use Platform

Subject to compliance with these Terms, Podacium grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal or internal business purposes.

5.2 Permitted Uses

You may access courses you have enrolled in, participate in Platform forums, create User-Generated Content in accordance with these Terms, use BI Features for legitimate analytics purposes, and download materials explicitly designated as downloadable.

5.3 Prohibited Uses

You must not use the Platform for any illegal purpose, engage in academic dishonesty, share Account credentials, reverse engineer the Platform, use automated systems to collect data, circumvent payment systems, upload malicious code, harass other users, impersonate others, or misuse AI Services.

6. Content and Intellectual Property

6.1 Podacium's Intellectual Property

All Platform Content, including source code, software, algorithms, course materials, AI models, Platform design, trademarks, logos, and Business Intelligence tools, is owned by Podacium SARL or licensed to us by third parties. All rights are reserved.

6.2 User-Generated Content Ownership

You retain ownership of all User-Generated Content you create, including course assignments, forum posts, reviews, and freelance work deliverables.

6.3 License to Podacium

By submitting User-Generated Content to the Platform, you grant Podacium a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to display, reproduce, and distribute your content on the Platform.

7. Payments, Fees, and Refunds

Pricing, payment methods, and refund policies

7.1 Pricing

Course prices, subscription fees, and Freelancing Marketplace commissions are displayed on the Platform in Algerian Dinars (DZD) or other applicable currencies. Prices may change at any time.

7.2 Payment Methods

Podacium accepts payments through licensed third-party payment gateways, including Algerian bank cards (CIB, EDAHABIA), SATIM payment system, and other licensed or international payment processors.

7.3 Taxes

Prices displayed are inclusive of applicable Algerian taxes (VAT/TVA) unless otherwise stated. International users may be subject to additional taxes in their jurisdiction.

7.6 Refund Policy

Detailed refund terms are provided in our separate Refund Policy. Key points include a 7-day full refund for course purchases if no content has been accessed, pro-rata refunds for partial completion, and specific non-refundable circumstances.

8. Data Protection and Privacy

8.1 Privacy Commitment

Podacium is committed to protecting your personal data in accordance with Algerian Law 18-07 on the Protection of Personal Data. Full details of our data practices are provided in our Privacy Policy.

8.2 User Rights Under Algerian Law

You have the right to access your personal data, correct inaccurate data, delete your data (subject to legal retention requirements), object to certain data processing activities, withdraw consent for non-essential data processing, and lodge complaints with Algeria's National Authority for the Protection of Personal Data (ANPDP).

8.3 Data Retention

Personal data is deleted 6 months after Account deletion. Financial records are retained 10 years in anonymized form. Course completion certificates are retained indefinitely for verification purposes.

9. Third-Party Services and Links

External services and their integration

9.1 Third-Party Integrations

Podacium integrates with third-party services including payment processors, artificial intelligence service providers, analytics tools, cloud hosting providers, and communication services. These services have their own terms and privacy policies.

9.3 Third-Party Liability

Podacium uses reasonable efforts to select reliable third-party providers. However, we are not responsible for third-party service failures, outages, or errors. We maintain backup systems where technically feasible.

10. Disclaimers and Limitation of Liability

10.1 Educational Disclaimers

Podacium does not guarantee that completing courses will result in specific learning outcomes, employment, academic credit, or professional licensure. Educational success depends on individual effort and external factors beyond our control.

10.2 AI Disclaimers

AI Services may produce incorrect, incomplete, or misleading information. AI recommendations are general suggestions only and do not constitute professional advice. Consult qualified professionals for important decisions.

10.4 Limitation of Liability

To the maximum extent permitted under Algerian law, Podacium is not liable for indirect, incidental, consequential, or punitive damages. Where Podacium is found liable, our total liability is capped at the lesser of fees paid in the preceding 12 months or 50,000 Algerian Dinars.

11. Force Majeure

Events beyond our control

Podacium is not liable for delays or failures to perform obligations due to events beyond our reasonable control, including natural disasters, pandemics, war, government actions, internet infrastructure failures, cyberattacks, third-party service provider failures, labor strikes, or power outages.

12. Account Suspension and Termination

How accounts can be suspended or terminated

12.1 Termination by User

You may delete your Account at any time using the self-service deletion option in Account settings or by contacting support. Effect of deletion includes immediate access revocation, personal data deletion within 6 months, and retention of financial records for 10 years.

12.2 Termination by Podacium

We may suspend or terminate your Account immediately without notice for serious Terms violations (fraud, illegal activity, harassment, repeated infringement, academic dishonesty, or threatening Platform security).

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Algeria, including Law 18-07 on Protection of Personal Data, Law 18-05 on Electronic Commerce, Law 09-03 on Consumer Protection, and the Algerian Civil and Commercial Codes.

13.2 Jurisdiction

Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Oran, Algeria.

13.3 Alternative Dispute Resolution (ADR)

Before initiating court proceedings, parties agree to attempt resolution through good-faith negotiation (30 days) and mediation through a mutually agreed mediator in Algeria. ADR does not prevent either party from seeking urgent injunctive relief.

14. General Provisions

Additional legal terms

14.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Podacium regarding Platform use, superseding all prior agreements and understandings.

14.5 Language

These Terms are drafted in English. An official Arabic version will be published as the authoritative legal version. Upon publication, the Arabic version shall become the legally binding version. In case of any conflict between translations, the official Arabic version shall prevail.
